When Do You Need an NDA?

A Non-Disclosure Agreement (also called a Confidentiality Agreement) is appropriate whenever you're sharing sensitive business information with someone who isn't already bound by an employment or contractor agreement. Common use cases:

One-Way NDA vs Mutual NDA

A one-way NDA protects only one party's information — used when you're sharing secrets with someone (e.g., a contractor) who has nothing confidential to share back.

A mutual NDA protects both parties — used when two companies are exploring a partnership and both will share sensitive information.

The template below is a mutual NDA. To make it one-way, remove references to "Disclosing Party" as a variable role and assign it to one specific party.

MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of [DATE], by and between:

[PARTY A NAME], a [entity type, e.g., sole proprietor / LLC / corporation] with its principal place of business at [ADDRESS] ("Party A"); and

[PARTY B NAME], a [entity type] with its principal place of business at [ADDRESS] ("Party B").

Collectively referred to herein as the "Parties."

1. Purpose. The Parties wish to explore a potential business relationship regarding [BRIEF DESCRIPTION OF PURPOSE, e.g., a software development partnership] (the "Purpose"). In connection with the Purpose, each Party may disclose certain confidential information to the other.

2. Confidential Information. "Confidential Information" means any non-public information disclosed by either Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information, including but not limited to business plans, technical data, financial information, and customer lists.

3. Obligations. Each Party agrees to: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose such information to any third party without the prior written consent of the disclosing Party; and (c) use the Confidential Information solely for the Purpose described above.

4. Exclusions. These obligations do not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully known to the receiving Party before disclosure; or (c) is required to be disclosed by law or court order, provided the receiving Party gives prompt written notice to allow the disclosing Party to seek a protective order.

5. Term. This Agreement shall remain in effect for [DURATION, e.g., 2 years] from the date first written above, unless earlier terminated by mutual written agreement.

6. Return of Information. Upon request by the disclosing Party, the receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.

7. Governing Law. This Agreement shall be governed by the laws of [STATE/COUNTRY], without regard to its conflict of law provisions.

8. Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior negotiations, representations, or agreements.
