1. Agreement to Terms

Welcome to Writ (QuikDB) ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our document editor and e-signature platform, including our website, software, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use our Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using Writ (QuikDB), you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and truthful

3. Account Registration

3.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of unauthorized access
  • Be responsible for all activity under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account for violations of these Terms, fraudulent activity, or any reason at our discretion.

4. Subscription and Payment

4.1 Plans

We offer multiple subscription plans:

  • Free Plan: Basic document editing with limitations
  • Monthly Plan: $9.99/month with full features
  • Annual Plan: $84/year with full features
  • Lifetime Plan: $29.99 one-time payment (limited time offer)

4.2 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (for subscription plans).

4.3 Cancellation & Refunds

Lifetime Plan ($29.99):

  • 30-day money-back guarantee (full refund if requested within 30 calendar days of purchase)
  • Request refund by emailing cs@quikdb.net with your order number
  • Refund processed in 7-14 business days to original payment method
  • Refund eligibility requires usage of 10 or fewer signature requests during the 30-day period
  • Account and all data will be permanently deleted upon refund approval
  • One refund per customer (not eligible if you've received a prior refund)
  • Not available for accounts that violated Terms of Service or Acceptable Use Policy
  • Chargebacks: Filing a chargeback instead of requesting a refund may result in account suspension and collection proceedings

Monthly Plan ($9.99/month):

  • Cancel anytime via Account Settings or by emailing cs@quikdb.net
  • Cancellation takes effect at the end of the current billing cycle
  • You retain access until the paid period ends
  • No pro-rated refunds for partial months
  • Auto-renewal stops upon cancellation

Annual Plan ($84/year):

  • Cancel anytime via Account Settings or by emailing cs@quikdb.net
  • Cancellation takes effect at the end of the current billing cycle
  • You retain access until the paid period ends
  • No pro-rated refunds for partial years
  • Auto-renewal stops upon cancellation

Important Notice

Upon refund approval, your account and all associated data (documents, signatures, files) will be permanently deleted within 7 days. Please download any documents you wish to keep BEFORE requesting a refund. No data recovery is possible after deletion.

4.4 Usage Limits

To ensure fair use and platform stability, the following limits apply to all users:

  • File Creation Limit: Maximum 500 new files (documents) per user per month
  • Signature Requests: Unlimited for paid plans (subject to fair use policy)
  • Storage: Unlimited document storage for paid plans
  • Recipients: Unlimited signature recipients per document

If you consistently exceed these limits or show patterns of abuse (automation, reselling, etc.), we reserve the right to suspend your account or require an enterprise plan upgrade.

4.5 Price Changes

We may change our pricing at any time. Existing subscribers will be notified 30 days in advance. Lifetime plan holders are grandfathered at their original price.

5. Acceptable Use Policy

You agree NOT to use our Service to:

  • Violate any local, state, national, or international law
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or malware
  • Harass, abuse, or harm other users
  • Engage in fraudulent activity or identity theft
  • Distribute spam or unsolicited communications
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our software
  • Resell or redistribute our Service without permission
  • Use automated systems (bots, scrapers) without permission

6. User Content

6.1 Your Ownership

You retain all ownership rights to the documents, signatures, and content you create on Writ (QuikDB) ("User Content").

6.2 License to Us

By uploading User Content, you grant us a limited, non-exclusive, worldwide license to store, process, and display your content solely for the purpose of providing the Service.

6.3 Responsibility

You are solely responsible for your User Content. We do not endorse or verify the accuracy, legality, or authenticity of User Content.

7. Electronic Signatures

7.1 Legal Validity

Electronic signatures created through Writ (QuikDB) are legally binding under the ESIGN Act (USA), UETA (USA), and eIDAS (EU).

7.2 Your Responsibility

You are responsible for:

  • Ensuring signers have authority to sign documents
  • Verifying the identity of signers
  • Complying with applicable laws regarding electronic signatures
  • Maintaining copies of signed documents for your records

7.3 Prohibited Uses

Do not use our e-signature feature for documents that legally require wet signatures (e.g., wills, trusts, certain real estate transactions). Consult a legal professional if unsure.

8. Intellectual Property

8.1 Our Rights

Writ (QuikDB), our logo, trademarks, software, and all related intellectual property are owned by us or our licensors. You may not use our trademarks or IP without written permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas, you grant us an unlimited, perpetual license to use them without compensation or attribution.

9. Third-Party Services

Our Service may integrate with third-party services (Stripe, Cloudflare, etc.). We are not responsible for third-party services or their terms. Your use of third-party services is subject to their own terms and policies.

10. Disclaimers

IMPORTANT LEGAL NOTICE

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free
  • Documents will be free from loss, corruption, or unauthorized access
  • Electronic signatures will be legally enforceable in all jurisdictions
  • Results will meet your expectations or requirements

11. Limitation of Liability

LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANYTHING).

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, business interruption, or reputational harm.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your infringement of third-party rights

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at cs@quikdb.net to resolve the dispute informally.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You waive your right to a jury trial.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive your right to participate in class actions or class arbitrations.

14. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles. Any disputes shall be resolved in the courts located in [Your Jurisdiction].

15. Termination

We may suspend or terminate your access to the Service:

17. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and us
  • Severability: If any provision is found invalid, the rest remains in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms; we may assign to any party
  • Force Majeure: We are not liable for delays due to circumstances beyond our control
